These Terms of Service ("Terms") govern your ("you," "your," or "yourself") access to and use of www.qualitycareglobal.com ("Site") operated by Quality Care Global LLC ("QCG," "we," "us," or "our") and its affiliates. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you must not access or use the Site.

These Terms do not cover privacy practices, which are addressed in our separate Privacy Policy and Cookie Policy.

1. Use of the Site

A. Eligibility

You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are accessing or using the Site on behalf of another individual or entity, you affirm that you are authorized to act on their behalf and bind them to these Terms.

B. Permitted Use

You may use the Site to:

• Register an account as a user.
• Subscribe to blog updates.
• Request a callback via the matcher functionality, including submitting optional surveys.
• Browse content, such as provider profiles, deals, and guides.

Use of the Site for any purpose not expressly permitted by these Terms is prohibited.

C. Prohibited Conduct

2. Accounts and Registration

A. Account Creation

To access certain features (e.g., matcher functionality, blog subscriptions), you may register an account by providing your full name and email address. Single sign-on (SSO) users provide only their email address and full name via an external provider; passwords are not stored by us.

B. Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials.
• Ensuring the accuracy of information provided during registration or updates.
• All activities conducted under your account, whether authorized by you or not.

C. Account Termination

We reserve the right to suspend or terminate your account at our discretion, including for violations of these Terms, suspected fraudulent activity, or operational needs. You may terminate your account by contacting us at the details in Section 12.

3. Matcher Functionality and Surveys

A. Matcher Functionality

The Site offers a matcher functionality allowing you to request a callback for personalized provider recommendations. You may provide contact details (e.g., email address or phone number) and, optionally, limited survey responses.

B. Consent to Share with Providers

By submitting an optional survey form, you explicitly consent to us sharing your survey responses and contact details with the healthcare provider you select, solely to coordinate your inquiry or service. This data is not shared with providers or any other third party without your consent.

C. No Medical Services

QCG does not provide medical advice, diagnosis, or treatment through the Site. The matcher functionality facilitates connections to providers, but all healthcare decisions and services are between you and the provider.

4. Intellectual Property

A. Ownership

The Site, including its design, text, graphics, software, and other content (excluding User Content as defined below), is owned by QCG or its licensors and protected by U.S. and international copyright, trademark, and other intellectual property laws.

B. License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes, subject to these Terms.

C. Restrictions

You may not copy, modify, distribute, sell, or create derivative works from the Site or its content without our prior written consent.

5. User Content

A. Definition

"User Content" refers to any material you submit to the Site, including reviews, comments, survey responses, or profile updates.

B. License to QCG

By submitting User Content, you grant QCG a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, distribute, and display such content on the Site and through affiliated services for operational, promotional, or analytical purposes.

C. Responsibility

You are solely responsible for your User Content. You represent and warrant that it does not violate any third-party rights (e.g., copyright, privacy) or applicable laws. We may remove or modify User Content at our discretion if it breaches these Terms.

6. Third-Party Links and Services

The Site may contain links to third-party websites or services (e.g., healthcare providers, email providers). We are not responsible for the content, practices, or availability of these third-party sites or services. Your interactions with them are at your own risk and governed by their respective terms and policies.

7. Disclaimers

A. No Warranties

The Site is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee the Site’s accuracy, completeness, or uninterrupted operation.

B. No Medical Advice

QCG is not a healthcare provider. Information on the Site (e.g., provider profiles, deals) is for informational purposes only and does not constitute medical advice, diagnosis, or treatment.

8. Limitation of Liability

To the fullest extent permitted by law, QCG, its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Site, including but not limited to loss of profits, data, or goodwill, even if advised of the possibility of such damages.

9. Indemnification

You agree to indemnify, defend, and hold harmless QCG, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorneys’ fees) arising from your use of the Site, violation of these Terms, or infringement of third-party rights.

10. Termination

We may terminate or suspend your access to the Site at our sole discretion, with or without notice, for any reason, including violations of these Terms. Upon termination, your right to use the Site ceases immediately, but provisions such as Intellectual Property, Disclaimers, Limitation of Liability, and Indemnification shall survive.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to the jurisdiction and venue of such courts.
